The pertinent parts of that policy are set forth as follows: <br />a) Actual costs per call will be determined by the total annual approved costs <br />of the Primary PSAP for the most recent funding year divided by the total number of 911 calls <br />received by the Primary PSAP for the same year. <br />b) Funding for the Secondary PSAP will be based on a per 911 call basis as <br />measured by the Electronic Call Analysis Tracking System ( "ECATS ") as provided by the 911 <br />Board. <br />C) Any additional funding requested by a Secondary PSAP shall follow the <br />procedure established by the 911 Board as the "Annual Funding Reconsideration Request" and <br />must be processed by the Primary PSAP. <br />4. The County as Primary PSAP shall enter into a separate agreement with the 911 <br />Board for the benefit of the City as Secondary PSAP, to govern allocations for the Secondary <br />PSAP, pursuant to the policies of the 911 Board and Chapter 62A of the North Carolina General <br />Statutes. <br />5. The provisions of the above separate agreement, the 911 Board policies as <br />enacted from time to time and the provisions of Chapter 62A of the North Carolina General <br />Statutes are incorporated by reference into this Agreement. <br />6. The City understands that its Secondary PSAP funding will be determined by the <br />911 Board and paid through the County. The City shall provide to the County all information <br />and documents requested by the County regarding its Secondary PSAP operations and <br />expenses. <br />7. Each party agrees to indemnify and hold harmless the other party from any <br />damage, claim, loss or expense (including attorneys fees) arising from the acts or omissions of <br />the indemnifying party relating to the duties or obligations of each party required by this <br />Agreement. <br />8. Either party may terminate this Agreement upon one hundred eighty (180) days <br />prior written notice with or without cause. <br />9. This Agreement shall be for a term of one (1) year from the initial effective date <br />and shall be renewable for additional one (1) year terms unless either party notifies the other of <br />non -prior renewal of this Agreement no later than one hundred eighty (180) days prior to the <br />anniversary date of this Agreement. <br />10. This document contains the entire understanding of the parties with reference to <br />the subject matter of this Agreement. Any modification of this Agreement must be in writing <br />and executed by both parties. <br />Attachment number 1 <br />F -10 Page 133 <br />
