II. DUTIES AND SERVICES PROVIDED BY THE COUNTY TO THE EDC A. County will reimburse the EDC for cost of the core services as described above, provided at a level substantially similaz to those provided by the EDC in FY 2007, in an amount up to $36,500 per month. B. Reimbursement requests from EDC may be submitted monthly. C. The Cabanus County Manager shall participate as a member of the EDC Board of Directors during the term of this contract consistent with EDC Bylaws, provided if the County Manager cannot attend the EDC Boazd of Directors meeting, he may designate one of his senior employees to represent the County at said meeting. D. County shall provide public information necessary for the EDC to provide the services described in I and II above. The County shall not provide any confidential or proprietary information to the EDC without first obtaining such agreements and waivers from the EDC as the County, in its sole judgment and discretion, deems necessary and appropriate. III. OTHER TERMS and CONDITIONS of this AGREEMENT A. Term of Agreement. The term of this Agreement shall be for the fiscal year July 1, 2007 through June 30, 2008. B. Termination of Agreement. Either party may terminate this Agreement by giving the other party a ninety-day (90 day) written notice of its desire to terminate this Agreement. In the event of such terminations, the EDC shall provide the County with all pertinent information regarding the current status of all efforts in any stage of progress at that time. C. NoNces.
