The <br />Fifth Amendment is identical to the Fourth Amendment other than for the calculation <br />of days involved in the extension of the Due Diligence Date and Closing. The enclosure <br />provides for a 90-day extension. This would establish a new Due Diligence date of <br />January 2, 2007, and a new Closing Date of February 1, 2007. Upon your execution of <br />all originals, please give me a call and I will pick up two (2) of same for distribution to <br />myself and Allen. <br /> <br />Should you have any questions, please advise.
