Indemnification. All parties expressly agree to defend, indemnify and hold <br />harmless the other from any and all losses, claims, demands, damages, liabilities, <br />judgments, expenses, defense costs, cause of action and settlements arising out of <br />or in connection with, either directly or indirectly, from errors, omissions, or <br />negligent acts on the part of the other party, its employees, agents, consultants, in <br />the performance of services under this Agreement. <br /> <br />Governing Law.
