MARKETING PARTNERSHIP AGREEMENT <br /> <br /> THIS AGREEMENT, made and entered into as of the /,5 day of January, <br />0_,~20~by and between Cabarrus Memorial Hospital d/b/a NorthEast Medical Center <br />("NEMC") and Cabarrus Soccer Association ("CSA") and Cabarrus County, a political <br />subdivision of the State of North Carolina (the "County") <br /> <br />WHEREAS, NEMC, CSA, and the County desire to enter into a marketing and <br />sponsorship relationship for the mutual benefit of the parties. <br /> <br />WHEREAS, the parties desire to set for their understanding as further described herein: <br /> <br />NOW THEREFORE, in consideration of the premises and mutual covenants set forth <br />herein, the parties agree as follows: <br /> <br />1. NEMC Duties. NEMC agrees to the following: <br /> <br />Co <br /> <br />NEMC shall pay to CSA, who will forward to the County as part of their <br />Stonewall Jackson Soccer Complex financial pledge, a one-time marketing <br />sponsorship fee (hereinafter "Marketing Fee") in the amount of Twenty <br />Five Thousand Dollars ($25,000) to be paid to CSA on or before __ <br />February, 2002. <br />NEMC shall initially equip and furnish a First Aid Center, such equipment <br />and furnishings to include: one stretcher, two chairs, and supplies as <br />determined by NorthEast Emergency Services. (Built-in cabinet/work <br />station to be supplied as part of construction by CSA and the County. <br />NEMC is responsible for replacement equipment, as determined by NEMC. <br />Subsequent stocking of supplies can be purchased from NEMC by CSA, or <br />the County at NEMC's cost.) <br />NEMC shall make available to CSA and the County access to the First Aid <br />Center for use by CSA and/or the County at all their sponsored soccer' <br />events. <br /> <br />2. CSA Duties. CSA agrees to the following: <br /> <br />Designation of NEMC as CSA's exclusive healthcare provider and <br />marketing partner for a ten-year period or for the life of this agreement, <br />which ever comes first. (Individual physician practices may also market <br />with CSA on an individual basis as long as these physicians are on the <br />active medical staff of NEMC). <br />Inclusion of NEMC logo as "exclusive healthcare provider" on all CSA <br />marketing materials. <br /> <br />8/14/01 <br />Mk-t Partnership Agreement.doc <br /> <br /> <br />
