8. Choice of Law: The laws of North Carolina govern the validity of this Contract and anv of its terms or provisions, as well as the rights and duties of the parties of this Contra~t. The Contractor, by signing this Contract, agrees and submit, solely for matters concerning tiffs Contract, to the jurisdiction of the courts of Nomh Carolina and agrees, solely for such purpose, that the venue for any legal proceedings shall be Rowan. North Carolina, where all matters, whether sounding in contract or tort, relating to the validity, construction, interpretation, and enforcement shall be determined. 9. Entire Agreement: Th_is Contract and any docUments incorporated specifically by reference present the entire agj~ eement between the parties and supersede all prior oral wrirten statements or agreements. The Contract, including Attachment I (approved work program and budget), U.S. DOE- W'eatherizafion Assistance Prom-am for kow-[ncome Persons-Title I0, Part 440, Title Code'of Financial Assistance ~ules-Part 600-Uniform Administrafive'Requi~'ements for Grants and Cooperative Agreements, the approved N.C. Weatherizafion Assistance Pr0grmu State ?lan, Rule NCAC Title 10 Chapter 51, the Contractor's application and any addenda thereto are incorporated herein by references as though set forth verbatim. All promises, requirements, terms, conditions, provisions, reorientafions, guarantees, and warranties contained herein shall sun4ve the Contract expiration or termination date unless specifically provided otherwise herein, or unless superseded by applicable Federal or State statutes of limitation. 10. Availability of Funds The parties to this Contract agree and understand that the payment of the sums specified in this Contract is dependent and contingent upon and subject to the appropriation, allocation, and availability for this purpose to the Department and Office by the N.C. General Assemblv and the federal government. ' ' 11. Responsibilities of the Sali~ibury-Rowan Community Council Inc.: Ao Reimbursing the Contractor for the costs of services and activities described in the Contractor's approved work program and budget (Attachment I) and in Accordance with the financial requirements as establishes by the Office and Department. B. Monitoring the Contractors for compliance with the terms of this Contract, and applicable federal and state rules and regulations. C. Specifying all reports and deliverables required fi.om the Contractor.
