Care oi Froper~?: <br /> <br />The contractor agrees that it shall be the responsible for the proper custody and care of any <br />property famished it for use in connection with the performance of this Contract or purchased by <br />it for this Contract and will reimburse the Department for loss or damage of such property.. <br /> <br />18. Access to Persons and Records: <br /> <br />The State Auditor shall have access to person and records as of all Contractors or Grants entered <br />into by State agencies or political subdivisions in accordance with General Statue 147-64.7. <br />Additionally, as the State funding authority, the Depm'anent of Health and Human Services shall <br />have access to persons and records as a result of all COntracts of grants entered into by State - <br />agencies or political subdivisions. The Contractor shall retain all records for a period of three <br />years following completion of the Contractor or until all audits are resolved. <br /> <br />19. Copyrights and distribution of Material: <br /> <br />N6 detive'rable items produced in whole or in part under this agreement shall be the subject of an <br />application for copyright by on behalf of the Contractor. <br /> <br />20. Conflict of Interest: <br /> <br />The Contractor expressly states that is presently has no in'terest and shall not acquire any interest. <br />direct or indirect, which would conflict in any manner or degree with the performance ofservice~ <br />required .to be performed under this Contract7 The Contractor shall not employ any person having <br />such interest daring the performances of this Contract. <br /> <br />The contractor further agrees to nc~tify the Council in writing of any instances that might have the <br />appearance of a conflict of interest. Upon execution of this Contract and prior to disbursement of <br />funds, the Contractor shall submit to the Council a notarized copy of the Contractor's policy <br />addressing conflict of interest in accordance with North Carolina General Statue 143-61. <br /> <br />21. Insurance: <br /> <br />The Contractor agrees to furnish worker's compensation, liability insurance and other insurance <br />· as may be required to protect the Contractor and State against claims, which may arise 'from the <br />Contractor's performance. <br /> <br />Providing and maintaining adequate insurance coverage is a material obligation of the Contractor <br />and is of the'essence of this Contract. All such insurance meet all }aws of the State of North <br />Carolina. Such insurance coverage shall be obtained fi-om companies that are authorized to <br />prox4de such coverage and that are authorized by the Commissioner if Insurance to do business in <br />North Carolina. The Contractor shall at all times comply with terms of'such insurance policies, <br />and all requirements of the insurer under and such insurance policies, except as they may conflict <br />with existing North Carolina 'laws or this Contract. The limits of coverage under each insurance <br />policy maintained by the Contractor shall not be interpreted as limiting the Contractor's liability <br />and obligations under the Contract. <br /> <br /> <br />
