(c) Fiber Optic Cable Installed and Maintained by Time Warner Cable; For each fiscal year of this Agreement, the amount allocated to the Fund for building and facilities for payment to Thne Warner Cable for installation and maintenance of fiber optic cable between administrative offices and high schools shall be $32,500. '5 .Based upon the North Carolina ADM Numbers of 20,924 (86%) students in the County Schools and 3,404 (14%) students in Kannapolis City Schools that reside , in Cabarrus County for the 2002-2003 school year, the Cabarrus Board shall :allocate a minimum of $27,950.00 and the Kannapolis Board shall allocate a ; minimum of $4,550.00. 7. ':ACCOunting - The Cabarrus Board Finance Department will be responsible for establishing two separate internal accounting categories and will keep separate accounting records as to amounts actually spent for the Services provided for each of the Cabarrus Board and t/ac KannapoliS Board with regard to thc above: (i) Building and Facilities Services; and (ii) Grounds and Maintemuice Services. Within thirty (30) days after the end of each quarter, the Caban'us Board Financ6 Department will prepare a report showing spending by the Department, which report will be seht to the County Manager and the Superintendents. At the end of each fiscal year, unspent fiafids in either Boards' account, whether in building maiutenance and facilities or grounds and' maintenance, shall be reserved for subsequent years' budgets and shall only be spent for each relpective pm'pose, subject to agreement by thc Parties. ' 8. , Disputes~ ~ In the event any disputes arise in connection with this Agreement, the Parties shall make an l earnest, good faith attempt to resolve their differences prior to implementation of more .formal measures for resolving such disputes. 9. Termination - This Agreement may be terminated without cause by any Party by providing mitten notice of termination as of June 30 of any year, provided such written notice is delivered to th6~ remainin! Parties at least twelve months in advance. I0. Severabillty - If any portion of this Agreement is held invalid, illegal or unenforccable~'~uch detemfinatlon shall not impair the enforceability of the remaining terms and provisions contained herein, provided the purposes, intent and objects of this Agreement may be attained and achieved thrgugh the enforcement of such remaining terms and provisions. 11. GOverning Law - This Agreement shall be governed by the law of North Carolina. 12.
